David A. Gerson is a partner in Morgan Lewis's Mergers and Acquisitions and Securities Practices. He is also a deputy practice group leader for the firmwide Business and Finance Practice, as well as a member of the firm's 19-member Advisory Board. Mr. Gerson advises private equity funds and public and private company clients, with a particular emphasis on complex acquisitions, dispositions, and securities transactions. He counsels clients on a variety of matters, including mergers and acquisitions, mezzanine finance, securities offerings and compliance, and general corporate law.

Mr. Gerson represents private equity sponsors and their portfolio companies in domestic and international mergers and acquisitions and in ongoing corporate finance matters. His practice encompasses public and private M&A, stock and asset transactions, and purchases and sales through bankruptcy and out-of-court restructuring. He also represents issuers in initial and subsequent public offerings, as well as issuers and strategic and financial investors in private placements of the securities of publicly and privately held corporations.

Mr. Gerson is admitted to practice in Pennsylvania.
