Benjamin R. Wills is a partner in the Business and Finance Practice. Mr. Wills focuses his practice on corporate and securities matters, including mergers and acquisitions, public and private debt and equity offerings, credit transactions, corporate governance issues, and general representation of public and emerging growth clients.

Mr. Wills represents clients in a variety of fields, including the energy, telecommunications, technology, banking, manufacturing, and electric and water utility industries.

Mr. Wills earned his J.D., summa cum laude, from the University of Pennsylvania Law School in 2001, where he was an associate editor of the University of Pennsylvania Law Review. He received his B.A., with high honors, in international studies from Emory University in 1997.

Mr. Wills is admitted to practice in Pennsylvania.

  • Representation of a major petroleum refiner in acquisitions and dispositions aggregating approximately $450 million in purchase price.
  • Representation of a petroleum products transportation and storage MLP in its $440 million acquisition of a natural gas storage cavern.
  • Representation of an energy marketing company in its $50 million sale of a propane and butane terminal.
  • Representation of a coal production company in its $25 million purchase of interests in a coal producer.
  • Representation of a Mid-Atlantic financial services holding company in the public offering of $345 million of common stock, $50 million of trust preferred securities and the private offering of $300 million of preferred securities in the TARP program, as well as in numerous acquisitions aggregating over $1 billion in purchase price.
  • Representation of a major pharmaceutical company in its $135 million purchase of a specialty pharmaceutical manufacturer.
  • Representation of NYSE-listed mid-cap pharmaceutical company in its $300 million bid for a Nasdaq-listed pharmaceutical company.
  • Representation of the two largest shareholders in the sale of a business process outsourcing company in the healthcare industry to a Midwest health insurance company for $175 million.
  • Representation of a global provider of electronic components and sub-systems in its $185 million purchase of an electronics component manufacturer.
  • Representation of a North American printer in its $110 million sale of its U.S. direct mail operations.
  • Representation of a financial investor in its $100 million sale of interests in five portfolio companies.
  • Representation of providers of online payment systems and gift cards in their sale to a major bank for purchase prices aggregating approximately $250 million.
