Allison T. Wilkerson is an associate in Morgan Lewis's Employee Benefits and Executive Compensation Practice. Ms. Wilkerson focuses her practice on the design, implementation, and administration of tax qualified and nonqualified retirement plans, including 401(k) plans, employee stock option plans, and executive and deferred compensation plans; regulatory compliance with the Internal Revenue Code and ERISA; and plan correction through various benefit plan correction programs. She also represents clients before the Internal Revenue Service and the Department of Labor in audit and correction matters. Ms. Wilkerson has advised employers with respect to issues raised in connection with corporate mergers, acquisitions and divestitures as they relate to the various benefit plans maintained by the affected corporate entity or entities.
Ms. Wilkerson also has a background in employee stock ownership plans (ESOP) and has worked with corporations, private equity groups, management groups, and fiduciaries regarding the use of ESOPs in a wide variety of transactions, including corporate ownership succession transactions, mergers and acquisition transactions, private equity management buyout transactions, private equity ESOP company acquisitions, medical industry ESOP transactions, and corporate reorganizations. She also is involved in representing companies and fiduciaries involved in ESOP and corporate litigation and advising ESOP companies on "corporate governance" and "best practices" for ESOP companies.
Ms. Wilkerson earned her J.D., with honors, from the University of Texas School of Law in 2002, and her B.B.A., cum laude, in finance from Baylor University in 1999.
