Michael J. Pedrick is a partner in Morgan Lewis's Business and Finance Practice, focusing within the Finance and Mergers and Acquisitions Practices. Mr. Pedrick's concentration in the finance area includes the representation of borrowers in financing transactions ranging from syndicated credits with institutional lenders to leveraged acquisition and asset-based financings to senior and mezzanine venture financings. He has significant experience in the use of limited recourse and bankruptcy-remote financing vehicles, particularly the use of such arrangements for financings within the REIT industry, as well as experience addressing financing issues in restructurings, workouts and bankruptcies. His recent work on behalf of lenders has included advising lenders in providing term and warehouse facilities and advising institutional lenders in aircraft and equipment leasing fields, as well as structuring credits among nontraditional lenders in connection with strategic arrangements between the parties.

Mr. Pedrick’s merger and acquisition practice focuses on acquisitions and dispositions of private companies. Recent transactions have ranged in size from $5,000,000 to $925,000,000, and have included acquisitions in the aerospace and defense, medical devise, textile and grocery industries. Mr. Pedrick has experience in the use of Chapter 11 proceedings to accomplish acquisitions, and has frequently represented non-US corporations in acquisitions and dispositions in the United States.

Mr. Pedrick has been at Morgan Lewis since 1988, joining the firm after practicing in New York City for another large firm.

Mr. Pedrick received his J.D. in 1985 from the University of Virginia, where he was a Dillard Fellow, and his B.A. in 1981 from the University of Virginia.

Mr. Pedrick is admitted to practice in Pennsylvania and New York.
