John M. Rosenthal is a partner in Morgan Lewis's Business and Finance Practice. Mr. Rosenthal represents clients in corporate, project, and public finance debt matters. He also focuses on institutional trust risk management and restructurings, as well as general corporate matters. In the finance area, Mr. Rosenthal represents issuers, lenders, borrowers, indenture trustees, and other participants in structuring, negotiating, and documenting complex financing transactions. These transactions include secured transactions, asset-backed financings, securitized receivables financing, syndicated lending, credit enhancement, and municipal finance.
Mr. Rosenthal's practice also has involved coordinating with litigators to resolve restructuring matters, using his background in complex financial instruments. He has also been active in engagements rising out of the subprime debt crisis and related areas, and has increasingly been involved in the financing and restructuring of technology enterprises.
Prior to joining Morgan Lewis, Mr. Rosenthal was a partner in the financial services group of one of the largest law firms in the United States. He was a member of the firm's management committee and was previously the managing partner of their San Francisco office, as well as a former co-chair of the Finance Practice Group.
Mr. Rosenthal received his J.D. from the University of California, Berkeley, Boalt Hall School of Law in 1984; his M.A. in Asian studies from Cornell University in 1979; and his B.A., with distinction, in history from Cornell University in 1978. He is proficient in Mandarin.
