Thomas P. Giblin, Jr. is a partner in Morgan Lewis's Business and Finance Practice. Mr. Giblin's practice focuses on capital markets transactions, particularly in the energy and utility field. He acts as corporate and securities counsel for several energy and electric and gas utility clients in the United States, representing them in connection with registered offerings of debt and equity securities, Rule 144A/Regulation S transactions and follow-on exchange offers, as well as 4(2) private placements. Mr. Giblin also advises public companies in connection with disclosure obligations under the Securities Exchange Act of 1934 as well as compliance with the Sarbanes-Oxley Act of 2002 and corporate governance requirements.

Representative matters include:

  • Acting as company counsel in multiple issuances of mandatorily convertible securities/equity units as well as in connection with the remarketing of the debt component of those securities;
  • Acting as company counsel in connection with numerous issuances of first mortgage bonds, unsecured debt, guaranteed debt, tax-exempt debt, trust preferred securities, subordinated debt/hybrid securities, including replacement capital covenants, as well as common stock and preferred stock;
  • Advising issuers and dealer managers in a variety of capital and liability management activities, including tender offers, exchange offers and consent and proxy solicitations involving publicly traded debt, equity units, convertible securities and trust preferred securities as well as stock buybacks and accelerated share repurchase programs;
  • Acting as company counsel in the establishment of medium-term note programs, periodic equity issuance programs and commercial paper programs;
  • Acting as company counsel in connection with credit agreement/term loan agreements; and
  • Acting as company counsel in connection with dividend reinvestment plans and issuances of securities under employee benefit plans.

Prior to joining Morgan Lewis, Mr. Giblin was a partner at a national law firm, where he advised clients on a variety of corporate and securities matters.

Mr. Giblin received his J.D. from the University of Virginia School of Law in 1997, where he was executive editor for the Journal of Law & Politics. He received his B.A., magna cum laude, from the University of Notre Dame in 1993, where he was a member of Phi Beta Kappa.

Mr. Giblin is admitted to practice in New York.
