Michael R. King is a partner in Morgan Lewis’s Business and Finance Practice. Mr. King primarily represents oil and gas companies in upstream transactional matters, with a focus on acquisitions and divestitures of oil and gas properties and project development. He also handles farm-ins and other joint ventures and related arrangements.

Prior to joining Morgan Lewis, Mr. King was a partner in the oil and gas group of an international law firm. Before his legal career, he worked as an engineer at Brown & Root. His work included service in Hungary as a controls engineer on the Logistical Civilian Augmentation Program (LOGCAP) contract, through which Brown & Root provided services to the U.S. military in its peacekeeping mission in Bosnia-Herzegovina.

Mr. King received his J.D., with honors, from the University of Texas School of Law in 2000, where he was a member of the Texas Law Review and was named to the Order of the Coif. He received his B.S.E. in mechanical engineering from Baylor University in 1994.

Mr. King is admitted to practice in Texas.

  • Represented an integrated energy company in the sale of the majority of its domestic onshore and offshore oil and gas properties.
  • Represented an oil and gas company in the negotiation of a host government agreement for the development of an LNG plant in West Africa, as well as a sell-down of interests in the project.
  • Represented an oil and gas company in the negotiation of a joint venture agreement providing for the unitization of three Indonesian production sharing contracts and the development of an LNG plant.
  • Represented an oil and gas company in its acquisition of interests in two production sharing contracts in Ecuador and participation in the development of a heavy crude oil pipeline.
  • Represented an oil and gas company in a bid to acquire interests in production sharing contracts in Trinidad and Tobago.
  • Represented an oil and gas company in the sale of its interest in an Indonesian production sharing contract.
  • Represented an oil field services company in the sale of all of its working interests in federal leases in the Gulf of Mexico.

  • Assisted an oil and gas company in a tax-efficient divestiture of heritage oil and gas properties in west Texas.
  • Represented an oil field services company in the sale of an interest in an incremental production contract in Colombia.
  • Represented an oil and gas company in its acquisition of a farm-in to a production sharing contract in Ghana.
  • Provided advice and due diligence review to a European gas company on the acquisition of the worldwide LNG assets of a large energy company.
  • Represented a seismic company in its acquisition of a net profits interest in exchange for seismic data.
  • Represented an energy company in an agreement for the construction, operation, and maintenance of a compressor facility located within a Canadian tolling plant.
  • Counseled a South American national oil company regarding a wild well control contract.
  • Represented an energy company in a coal supply agreement for a power plant in Hawaii.
  • Provided due diligence review and advice to a Russian mining company regarding U.S. mineral patents and claims in connection with its acquisition of a U.S. nickel and platinum mining company.
  • Represented a European hedge fund in the negotiation of an investment in an oil and gas company with a novel enhanced recovery technique.
  • Represented an oil and gas company in several acquisitions of Marcellus Shale acreage.
