Vicki M. Nielsen is an associate in Morgan Lewis’s Employee Benefits and Executive Compensation Practice. Ms. Nielsen focuses her practice on executive compensation matters, including equity compensation, nonqualified deferred compensation, executive contracts, Internal Revenue Code Section 409A, Securities and Exchange Commission disclosure issues, shareholder approval requirements, NASDAQ and NYSE listing standards, and other corporate governance issues. She has also dealt with both federal and state income tax issues relating to mergers, acquisitions, and other restructurings, as well as tax controversy and compliance matters.
Prior to joining Morgan Lewis, Ms. Nielsen worked as an associate at a national law firm and as a legal consultant for LexisNexis. She also served as a judicial law clerk for Judge Moody R. Tidwell in the U.S. Court of Federal Claims.
Ms. Nielsen earned her J.D., with honors, from George Washington University Law School in 1999 and her B.A., summa cum laude, from Trinity College in 1996.
Ms. Nielsen is admitted to practice in the District of Columbia and New York and before the U.S. Court of Federal Claims.
