Lisa H. Barton is a partner in Morgan Lewis's Employee Benefits and Executive Compensation Practice. Ms. Barton's clients include numerous global public companies, including those in the retail, manufacturing, life sciences, energy, and information technology industries. Ms. Barton's practice encompasses all aspects of employee benefits, including the design, drafting, and operation of tax-qualified retirement plans and health and welfare plans. She advises clients with respect to compliance with the Internal Revenue Code, ERISA, COBRA, and other federal and state laws affecting employee benefit plans.  

Ms. Barton's practice also includes work with executive compensation arrangements, including the design, drafting, and operation of nonqualified deferred compensation and equity compensation plans. She advises clients on compliance with 409A and other requirements affecting equity compensation arrangements.

Ms. Barton frequently provides support in transactional matters, including pre-transaction assessment of benefits and liabilities and post-transaction integration of benefits. She also regularly represents clients before the federal agencies responsible for regulation of employee benefit plans and programs, including the Internal Revenue Service, the Department of Labor, and the Pension Benefit Guaranty Corporation, and has significant experience working under the agencies' remedial correction programs and within the context of agency-initiated audits. 

Ms. Barton is a regular speaker on employee benefits topics. Additionally, she was named by the National Diversity Council in 2011 as one of the "Most Powerful and Influential Women in Pennsylvania."

Ms. Barton is admitted to practice in Pennsylvania.
