Amy I. Pandit is a partner in Morgan Lewis's Business and Finance Practice. Ms. Pandit represents corporate clients in corporate governance, executive compensation, and in federal securities laws compliance, including in diverse and complex corporate finance transactions, such as public offerings of equity and debt securities, private placements, venture financings, and mergers and acquisitions.
Ms. Pandit has experience representing publicly traded corporations in connection with numerous corporate and securities matters. She has also assisted clients with complex executive compensation matters, ranging from drafting and negotiating executive employment agreements to assisting private and public companies in the development of overall executive and employee compensation programs.
In addition, Ms. Pandit has represented companies in connection with fundamental transactions, including merger, acquisition, and sale transactions as well as capital-raising transactions. She also recently represented public companies in a range of industries with federal securities law and Dodd-Frank Act and Sarbanes-Oxley Act compliance, and compliance with recently adopted SEC and stock exchange rules.
Prior to joining Morgan Lewis, Ms. Pandit was a partner in the Pittsburgh office of a national law firm, where she focused her practice on corporate finance and executive compensation. Prior to that time, Ms. Pandit was a corporate associate with a major New York City-based law firm, where she focused on mergers and acquisitions for public and private companies, initial and secondary public offerings, federal securities law compliance for companies and executive officers and directors, and private placements on behalf of public companies.
Ms. Pandit earned her J.D., cum laude, from Boston University in 1995, where she was a member of the Annual Review of Banking Law. She earned her M.A.L.D. from Tufts University in 1994 and her B.A. from Northwestern University in 1990.
Ms. Pandit is admitted to practice in Pennsylvania and New York.
