Amy I. Pandit is a partner in Morgan Lewis's Business and Finance Practice. Ms. Pandit represents corporate clients in corporate governance, executive compensation, and in federal securities laws, stock exchange, Sarbanes-Oxley and Dodd-Frank Act compliance, and in diverse and complex corporate finance transactions, such as public offerings of equity and debt securities, private placements, venture financings, and mergers and acquisitions.

Ms. Pandit has experience representing publicly traded corporations in connection with numerous corporate and securities matters. She has also assisted clients with complex executive compensation matters, ranging from drafting and negotiating executive employment agreements and severance arrangements to assisting private and public companies in the development of overall executive and employee compensation programs.

Ms. Pandit earned her J.D., cum laude, from Boston University in 1995, where she was a member of the Annual Review of Banking Law. She earned her M.A.L.D. from Tufts University in 1994 and her B.A. from Northwestern University in 1990.

Ms. Pandit is admitted to practice in Pennsylvania and New York.
