Carly E. Grey is an associate in Morgan Lewis's Employee Benefits and Executive Compensation Practice. Ms. Grey advises employers on all legal aspects of employee benefit and executive compensation matters. She has a background in qualified and nonqualified defined contribution and defined benefit pension plans, hybrid pension plans, and health and welfare plans.

Ms. Grey has designed plans; drafted, reviewed, edited, and ensured compliance with plan documents and amendments; developed compliance programs and resources; drafted communications materials and notices to plan participants; filed voluntary correction program and determination letter applications; and negotiated and drafted service provider contracts, business associate agreements, and stock and asset purchase agreements for corporate transactions.

In addition, Ms. Grey counsels employers on a wide range of legal issues arising under ERISA, the Internal Revenue Code, healthcare reform, HIPAA, COBRA, and securities laws, including fiduciary responsibilities, prohibited transactions, and reporting and disclosure requirements.

Prior to joining Morgan Lewis, Ms. Grey was an associate in the tax and employee benefits practice of a large international law firm.

Ms. Grey earned her J.D., with honors, from George Washington University Law School in 2007, where she served as president of the Alternative Dispute Resolution Board. She earned her B.S., cum laude, in mathematics from John Carroll University in 2004.

Ms. Grey is admitted to practice in the District of Columbia.
