Sara A. McCormick is an associate in Morgan Lewis’s Real Estate Practice. Our real estate attorneys represent a variety of real estate owners and stakeholders, including: national and international companies, real estate investment trusts (REITs), institutional lenders, private equity funds, and pension funds and advisers in connection with their ownership, use, and financing of real estate.
Ms. McCormick regularly assists clients with sophisticated transactions, including headquarters leases, real estate joint ventures, spinoffs, and matters involving complex entity structuring and transfer tax implications. She also represents fund sponsors in the formation of real estate investment vehicles, and investors, including pension funds, in investments in real estate funds. Ms. McCormick has represented clients from a variety of industries, including energy and financial services companies.
Ms. McCormick's representative transactions include:
- Representation of a global private equity fund in a series of transactions relating to a 53-story, 1 million square foot marquee office building in Philadelphia, including terminating a sale leaseback transaction; acquiring legal title; effecting certain key amendments to the long-term ground lease of the land; the negotiation of a new 120,000 square feet of space lease; consenting to a two floor sublease; certain complex communication licenses; and the subsequent sale of the entire bundle of rights to a NYSE-traded REIT in a deal valued at $125 million.
- Representation of a leading provider of real estate and relocation services in its lease of a new, 270,000 square foot, LEED Silver Certified corporate headquarters facility currently under development in New Jersey.
- Representation of a global chemical company in its lease of a new headquarters facility including a multimillion dollar fit-out consisting of office, laboratory, and pilot plant space.
- Representation of a leading financial services company in connection with a $190 million joint venture transaction with respect to an approximately 650,000 square foot class A office building in midtown Manhattan.
Prior to joining Morgan Lewis, Ms. McCormick was a tax associate in the Houston office of an internationally recognized law firm.
Ms. McCormick earned her LL.M. in taxation from New York University School of Law in 2006. She earned her J.D. from Pennsylvania State University, Dickinson School of Law in 2005, where she was a member of the Woolsack Honor Society and a recipient of the D. Arthur Magaziner Human Services Award. Ms. McCormick earned her B.A. in applied psychology from Pennsylvania State University in 2002.
Ms. McCormick is admitted to practice in Pennsylvania and Texas.
