Wenseng Pan is an associate in Morgan Lewis's Business Transactions Practice. Ms. Pan's current practice focuses on the life sciences industry. As a former scientist who is also qualified to practice before the U.S. Patent and Trademark Office, Ms. Pan has experience with scientific and patent issues that relate to small molecular drugs, biologics, medical devices, protein- and antibody-related platform technologies, and drug-delivery technologies. She also has experience in mergers and acquisitions (M&A), private investments, corporate finance, Delaware corporate law counseling, and federal securities law counseling. Combining her business law background with her science and technology background, Ms. Pan advises multinational pharmaceutical companies, biotech startups, specialty pharmas, and medical device companies in structuring and negotiating licensing, collaboration, joint venture formation, asset acquisition and divesture, manufacturing and supply relationships, and other commercial transactions.

Prior to joining Morgan Lewis, Ms. Pan was a corporate associate at a leading M&A law firm, focusing on public and private M&A, securities law practice, and corporate law counseling. Prior to that, Ms. Pan practiced with a leading international law firm in New York, concentrating on private equity investments and corporate financing. She also has worked with both state-owned enterprises and privately owned emerging companies in China and is a frequent speaker of licensing and collaboration practice relating to the life sciences industry in China.

Ms. Pan received her J.D. from Columbia University Law School in 1998, where she was a Stone Scholar. She received her Ph.D. in chemistry from Columbia University in 1995, where she was a recipient of the Pegram Award, and her B.S. in material science from Fudan University, China in 1989, where she was a recipient of the First Class Award.

Ms. Pan is admitted to practice in Pennsylvania, Delaware, and New York and before the U.S. Patent and Trademark Office.
