Gerald M. Freedman serves as a consultant to Morgan Lewis's Bankruptcy and Restructuring Practice, part of the Business and Finance Practice. He is a former Managing Partner of the New York office. Mr. Freedman's practice focuses on corporate finance, workout, and bankruptcy matters for banks, private equity funds, and companies with complex financial structures.
Mr. Freedman's recent experience includes representation of banks in DIP financing, representation of Chapter 11 debtors sponsored by private equity funds and representation of companies in public debt for debt and debt for equity swaps. He is also involved with crossborder insolvencies, including the representation of an electric power generator which was the first company to use Argentine bankruptcy laws in the restructuring of international bond debt and an equity for assets restructuring of Mexican bank and international bond debt for a large Mexican construction company that also generated litigation in the U.S. Supreme Court over the limits of federal court power to issue prejudgment injunctions. Additionally, Mr. Freedman works on insolvency issues related to structured finance transactions and companies using special purpose financing vehicles.
Mr. Freedman has presented various lectures, including "Mergers and Acquisitions in Government Contracting," at George Washington University, and "Tensions Between Senior and Mezzanine Debt," at the International Business Communications Mezzanine Debt Conference.
