Alan W. Beloff focuses his practice on complex debt financings, restructurings, and workouts, and has more than 41 years in the field. Alan’s practice includes the representation of banks; finance companies; other financial institutions; and corporate, partnership, trust, and individual borrowers in connection with a wide variety of financing transactions including leveraged buyout and acquisition financings, leveraged recapitalizations, working capital financings, asset-based financings, and letter of credit financings, at the large corporate and middle market levels.

As counsel to senior lenders, Alan has worked on a variety of multijurisdictional, cross-border secured financings involving guaranty and collateral arrangements in numerous foreign countries.

Alan also has experience with transactional legal opinions for complex financings involving UCC and related commercial law matters.

As borrower’s counsel, Alan has represented high-net-worth individuals and their related family trusts and partnerships in connection with large financings of their margin stock holdings under Regulation U and other financing activities. He has negotiated numerous large corporate financings as borrower’s counsel, working closely with representatives of corporate clients of the firm to facilitate their efforts to obtain or restructure working capital or acquisition financing.

Alan’s experience in debt financings, from both the lender’s and the borrower’s perspective, includes not only the structuring of new financings during periods of economic expansion, but also the representation of lenders and borrowers in restructuring and working out troubled credits during times of economic distress. He was recognized by Super Lawyers in 2004 and 2005 for his work in Massachusetts.

  • Previous lender-side matters have involved representation of banks (including Bank of America N.A.) providing financing to: a high-tech manufacturing company, a maker of premium travel-related consumer goods, several high-end national steak and seafood restaurant chains, a manufacturer of industrial textiles, a specialty finance company, and a chain of retail clothing stores.
  • Previous borrower-side matters have involved representation of: a publicly held maker of electronic instruments, a privately held manufacturer of industrial and consumer packaging and label materials, several individuals purchasing large jet aircraft, and a group of investors leveraging their public corporate equity holdings to invest in a portfolio of commercial real estate.
