Alan Singer advises companies on a wide range of securities and corporate law matters. He counsels public companies on annual and periodic US Securities and Exchange Commission (SEC) filings, proxy statements, executive compensation disclosure, and beneficial ownership reporting. He also provides advice regarding corporate governance, compliance with stock exchange listing standards and other SEC regulatory and corporate matters.
Alan has written on various aspects of the securities laws, including integration of public and private offerings, Internet disclosure issues, executive compensation disclosures, beneficial ownership reporting, and sales of securities in the context of employee benefit plans. He is a frequent speaker at professional and client seminars on securities law. From 1998 to 2015, Alan was a course planner and speaker for the Pennsylvania Bar Institute’s Annual Federal Securities Law Forum.
Before joining Morgan Lewis, Alan was a branch chief in the SEC’s Division of Enforcement in Washington, DC. In that role, he supervised and participated in investigations and civil actions involving financial fraud, illegal foreign payments, and other reporting violations.
Alan was chairman of the corporate, finance, and investment management practice's Legal Opinion Committee from 2007 to 2014.
