Anna Tomczyk focuses her corporate, finance and investment management practice on securities regulation, including matters involving public and private offerings, periodic reporting, and corporate governance. Anna represents public and private companies as issuers, underwriters, and trustees for public and private transactions. Her experience also includes representing both US and foreign issuers in initial public offerings (IPOs), secondary offerings, at-the-market offerings, exchange offers, tender offers, as well as high-yield, investment grade, and convertible debt offerings.
Additionally, Anna counsels public companies on US Securities and Exchange Commission (SEC) compliance under federal regulations and securities laws, including annual, quarterly, and periodic reports, and proxy statements. She also advises on the corporate governance requirements of various stock exchanges, including the New York Stock Exchange (NYSE) and NASDAQ.
