Baker Chen focuses his practice on capital markets, mergers and acquisitions, and private equity transactions. He represents issuers and underwriters in initial public offerings on the Stock Exchange of Hong Kong Limited and related compliance matters. He also has experience advising foreign private issuers in connection with the 1934 Act compliance and filings. Baker is fluent in Mandarin, English, and German.
Prior to joining Morgan Lewis, Baker worked as an attorney at the Beijing office of two major US law firms where he gained experience advising multinational corporations in a wide range of industries in connection with commercial and financial investments in China, including cross-border mergers and takeover, restructurings, and direct investment in joint ventures and wholly foreign-owned enterprises. He also advises Chinese state-owned enterprises and private companies in outbound investments and other strategic and finance transactions outside China. Furthermore, Baker also actively participates in various anti-corruption and compliance investigations in relation to the US Foreign Corrupt Practices Act (FCPA).
