Carley Clark provides guidance to clients on the full spectrum of issues involved with employee benefits programs. Carley’s focus is primarily in two areas within the employee benefits. First, Carley assists clients on structuring, designing, drafting, and administering executive compensation plans, qualified defined contribution and defined benefit plans, and nonqualified deferred compensation plans. Second, Carley focuses on fiduciary responsibility provisions, prohibited transactions rules and exemptions, and the management of employee benefit plan assets under ERISA and applicable state laws.
Carley works with clients on designing, implementing and updating plan fiduciary governance structures, drafting required disclosures, reviewing and negotiating investment-related agreements and day-to-day administration and ongoing compliance. She also has specific experience working with deferred compensation plans under Section 457 of the Internal Revenue Code for governmental and certain nongovernmental clients. Carley frequently uses her subject matter experience in performing due diligence and assessing liability and risks for clients in corporate transactions.
In addition to her time spent with Morgan Lewis, Carley spent a part of her career as in-house corporate counsel to a financial services company focusing in executive compensation and fiduciary responsibility and as an associate for a small law firm focusing in securities law.
