Christopher T. Jensen counsels both public and private companies on capital market offerings, public company disclosure and governance, and general securities and corporate advice. He advises issuers and underwriters in IPOs, including in connection with the consolidation of companies in highly fragmented industries and the concurrent IPOs of such companies, as well as in follow-on offerings, secondary offerings, and public and 144A/Regulation S note offerings under the Securities Act of 1933.
Chris also counsels public companies in the preparation and filing of periodic reports under the Securities Exchange Act of 1934. He has experience advising clients in the financial services industry with regard to their ongoing disclosure and reporting requirements, corporate governance matters, annual meeting and proxy-related issues, SEC regulations, stock exchange requirements, and various other matters affecting multinational companies and their officers and directors.
A member of the Recruiting Committee for the firm’s New York office for more than 30 years, Chris was chairman of the Recruiting Committee and hiring partner for the New York office for 10 years. He also served for many years as a member of the firm’s Fiduciary Review Committee and Audit Response Committee.
