Caroline W. Waldner supports tax-exempt organizations at every step, from assisting clients in formation and applications for tax exemption to monitoring proposed legislation, regulations, and rulings that may affect tax-exempt clients in the future. Her clients include donor advised funds, trade associations, museums and cultural organizations, colleges and universities, scientific and medical research organizations, public broadcasting organizations, private and operating foundations, community and economic development organizations, and many other charitable organizations and associations.
Caroline advises tax-exempt organizations on ongoing compliance with applicable tax laws, such as the unrelated business income tax, Form 990 filing obligations, lobbying and political activity restrictions, intermediate sanctions and other compensation-related issues. When clients face IRS audits or are in the midst of business transactions, Caroline offers assistance and advice. She also provides guidance in the development of good board governance policies and practices, as well as the handling of conflicts of interest.
Prior to joining Morgan Lewis, Caroline served as an associate in the tax group of another international law firm. A former tax policy fellow for the Joint Committee on Taxation, she advised members of Congress and staff regarding tax policy and drafted legislation, hearing publications, and technical explanations of tax legislation.
