Danby P. Kim

Prior to joining Morgan Lewis, Danby worked as an associate at the New York office of another international law firm. While attending law school, Danby served as an associate editor of the University of Pennsylvania Journal of International Law and as a research assistant for Professor Paul H. Robinson.

• Represented Rexnord Corp, a multiplatform industrial leader, in its transaction with Regal Beloit Corp. pursuant to which Rexnord separated its Process & Motion Control (PMC) segment by way of a tax-free spinoff to Rexnord shareholders and then combined it with Regal in a Reverse Morris Trust transaction, creating a $10 billion PMC business
• Represented NBE-Therapeutics (Switzerland), a clinical-stage biotechnology company focused on antibody-drug conjugates and advancing targeted cancer therapies derived from its immune stimulatory iADC platform, in its $1.4 billion sale to Boehringer Ingelheim
• Represented Nation Safe Drivers, a company held by an ESOP and family equityholders, in its sale to BDT Capital
• Represented GCM Grosvenor's Labor Impact Fund in the creation of Arctic Cold Holdings, a development vehicle for the acquisition, development, construction, and operation of cold storage facilities
• Represented Freeman Spogli in its acquisition of Easy Ice, a company specializing in the distribution and maintenance ice dispensary machines in North America
• Represented DAI Global, an ESOP-held global private development company, in multiple securities offerings
• Represented Varsity Healthcare Partners in its recapitalization and growth capital partnership with Probo Medical
• Represented New State Capital Partners and United Medical Systems Inc. (UMS) in the sale of UMS to Access & Integrated Practice Holdings, a portfolio company of MGG Investment Group
• Represented New State Capital Partners in its acquisition of Klein Hersh International, an executive search and consulting firm in the healthcare and life sciences industries
• Represented Westbrook Manufacturing, a manufacturer of pipe fittings and related products and owned by an ESOP, in its sale to SCF Partners
• Represented Vermeer Equipment, a manufacturer of industrial and agricultural machines, in its recapitalization involving the restructuring of the equity interests held by an ESOP and management equity holders
• Represented Sandvik AB in its acquisition of Summerill Tube Corp., a manufacturer of high-precision tubes
• Represented The Economist Group in its acquisition of CQ Roll Call
• Represented Ferguson Enterprises in its acquisition of Blackman Plumbing, a distributor of plumbing supplies and supplier of HVAC and waterworks products
