Heather Brookfield focuses her practice on the design and maintenance of executive compensation plans and the executive compensation issues that often accompany IPOs, M&As, and other corporate transactions. Heather counsels public and private companies of all sizes regarding equity and incentive compensation plans, nonqualified deferred compensation plans, employment agreements, tax-qualified retirement plans, and severance programs. Working closely with her clients, she also addresses legal, regulatory, and governance issues involving the Internal Revenue Code, securities laws, stock exchange listing standards, institutional investor voting policies, and ERISA.
