Jerry Carter focuses his practice on mergers and acquisitions, corporate reorganizations, joint ventures, general corporate matters, corporate governance, and commercial transactions. Jerry advises public and private companies as they enter, operate, and expand in the United States and Japanese markets. He has represented major Japanese and US companies, across various industries in both the US and Japan, in connection with cross-border transactions and regulatory and compliance matters.

Additionally, Jerry advises on commercial matters concerning the manufacture, lease and sale of goods in the US, including terms and conditions of sale or purchase, manufacturer and supply agreements, sales representative and distributor agreements, consulting and services agreements, confidentiality agreements, and equipment leases.
Prior to joining Morgan Lewis, Jerry worked at a leading international law firm in Tokyo assisting international casino operators and worked at a boutique law firm in the US assisting Japanese companies.
Jerry has lived in Japan for more than 5 years, can read, write, and speak the Japanese language, and lectures at a top law school in Japan on contemporary and comparative legal issues.
