Kenneth R. Earley’s practice focuses on the representation of mutual funds, closed-end funds, employees’ securities companies and investment advisers. Ken counsels clients on a wide variety of regulatory, compliance, and corporate matters. He also advises fund and adviser boards on governance and fiduciary oversight matters.
Ken has assisted clients with the development and launch of new funds, regulatory and compliance matters relating to existing funds, fund reorganizations and adoptions, and requests for no-action and exemptive relief from the US Securities and Exchange Commission. He has also assisted clients on matters arising under the Commodity Exchange Act and CFTC regulations affecting their businesses, including requirements on commodity pool operators or commodity trading advisors.
Ken currently serves as a co-chair of the Broker-Dealer Committee in the Boston Bar Association’s Financial Services Section. In addition, Ken serves on the advisory board of One World Strong Foundation Inc., a non-profit organization founded by victims of the 2013 Boston Marathon bombings that is dedicated to improving the lives of those impacted by terrorist attacks, hate crimes or other traumatic events.
Before joining Morgan Lewis, Ken served in compliance/regulatory functions at a Boston-based hedge fund and at a Boston-based investment adviser/fund complex, and was an associate in the financial services group of an international law firm in their Boston office.
