Keith L. Krasney has represented issuers, underwriters, servicers, originators, investors, and other industry participants across the full spectrum of securitization transactions for more than 30 years. Keith concentrates his practice on securitization and structured finance, mortgage finance, related financing areas, and other complex financial transactions. He counsels clients in public and private offerings of residential and commercial mortgage-backed securities, asset-backed securities, resecuritizations, and trade receivable securitizations.

These transactions have involved residential and commercial mortgage loans (including tax-exempt affordable housing loans and small balance commercial mortgage loans), fix and flip, rental and investor loans, servicer advances, credit card receivables, data center leases and student loans. He has broad experience in securitizations, sales and financings of SBA Section 7(a), Section 504 and SBIC loans and debentures, including Payment Protection Program (PPP) loans.

Keith regularly represents lenders and borrowers in the finance industry in warehousing arrangements, repurchase agreements, loan facilities, and related financings of financial assets, as well as in the purchase and sale of performing and non-performing loans and other receivables in secondary market transactions. He has also represented hedge funds in the purchase and financing of peer-to-peer/marketplace loans.

Keith works with servicers in servicing engagements and in the sale and purchase of servicing rights, with servicers and lenders in the financing of servicing rights. He also assists originators and aggregators in starting up their securitization programs and securitization compliant origination platforms.

He also represents private equity firms and hedge funds in acquisitions of financial companies and performing and non-performing financial assets, and financial institutions in sales of businesses and assets to investment funds. In addition, Keith has represented asset managers and insurance companies in various fixed income investments.

Keith counsels clients in transactions involving residential mortgage loans, commercial mortgage loans (including small balance), credit card receivables, tax liens, SBA loans, servicer advances, student loans, auto loans, cell towers, trade receivables, and peer-to-peer/marketplace loans.

Keith provides counsel to clients on the structure and ramifications of the US federal government's agency and government-sponsored enterprise (GSE) asset disposition programs,  and other legislative and regulatory developments affecting the finance industry. He also advises on modifications of residential and commercial mortgage loans and special servicing.

Prior to joining Morgan Lewis, Keith was a partner in a global law firm, where he chaired the securitization group and was resident in its New York office.
