Kathleen M. Ryan focuses her practice on commercial finance transactions, including secured and unsecured syndicated debt financings, asset-based lending, and debt workouts and restructurings. Prior to joining Morgan Lewis, Kate clerked for Judge William C. Hillman of the US Bankruptcy Court for the District of Massachusetts. Before attending law school, she worked in government relations in Washington, DC.
While attending law school, Kate was an executive editor of the Uniform Commercial Code Reporter-Digest.
Represented a leading lending institution as agent and lender in a $135 million cross-border debtor-in-possession credit facility to a US and Canadian specialty golf retailer through its bankruptcy, and the related sale and partial liquidation of the retailer’s Canadian and US store locations.
Represented the agent for a syndicate of lenders in connection with a $147.5 million senior secured multicurrency revolving credit and term loan facility to a surgical products manufacturer with a presence in the US, Canada, Mexico, Germany, and the United Kingdom.
Represented the agent and arrangers in financings to a national insurance company and its subsidiary, including a $4 billion multi-year credit facility, a $3 billion delayed draw term loan, and a $2 billion revolving credit facility.
Represented the retail finance division of a national bank as agent in a $125 million asset-based debtor-in-possession financing to a specialty apparel retailer and subsequent $125 million asset-based exit financing facility.
