Melissa Brown advises public and private companies, real estate investment trusts, and institutional real estate investors as sellers, purchasers, and developers in Texas and throughout the United States. Melissa has experience in a broad array of real estate transactions, including the acquisition, development, leasing, and sale of improved and unimproved real estate. She represents companies in various industries, including within the healthcare, energy, and manufacturing sectors.

Prior to joining Morgan Lewis, Melissa served as in-house counsel to a real estate development and property management company. In that capacity, she drafted and negotiated numerous leases on behalf of landlords of multi-family residential and commercial properties.

  • Represents a dental and oral health maintenance organization in connection with a variety of real estate related transactions, including drafting and negotiating commercial leases, lease amendments, subleases, subordination and non-disturbance agreements, and lease termination agreements.
  • Advised a Fortune 500 dialysis company with respect to its nationwide medical office lease portfolio and related real estate transactions.
  • Advised a real estate investment trust in the acquisition of land for the development of a single-family residential subdivision.
  • Advised a leading heavy trucks and engine manufacturer on numerous commercial real estate transactions, including the lease of over 500,000 square feet of warehouse space in Pennsylvania and the acquisition of approximately 50 acres of raw land for the expansion of its existing assembly plant in Virginia.
  • Advised a major energy corporation with respect to its national commercial real estate lease portfolio.
  • Advised a Switzerland-based company, related to the acquisition of two major operational facilities located in Texas. The real estate acquisitions were in connection with the company’s stock acquisition of two electromechanical service companies in the Gulf Coast area.
  • Advised major financial institution on numerous acquisition loans, secured by real estate, for mixed use, multifamily, shopping center, hotel and office developments.
