Fund Structuring and Formation

• Advised on the formation of an exempt fund under the rules of the Dubai Financial Servicers Authority for $150 million in the Thoroughbred industry globally.
• Advised in the structuring and documentation of the co-investment by Gamma Emirates Investments LLC of $5 million alongside Terranum Capital Latin America Real Estate Fund II, into Magna Haus Co-Investment, L.P.
• Advised Frontier Investment Management Partners Ltd. (FIM), in the $21.5 million equity investment by EFG Hermes UAE Ltd. The sale was a back-to-back transaction where we assisted in the acquisition by the client of 50% of FIM from Duet Group.

Private Equity and M&A

• A group of investors led by TVM Capital Healthcare Partners Limited on the $232 million sale of portfolio company Cambridge Medical and Rehabilitation Center (CMRC) to Amanat Holdings PJSC, a United Arab Emirates (UAE)-based publicly traded investment company that focuses on education and healthcare investments.
• Mizuho Gulf Capital Partners Ltd., investment manager of the Gulf Japan Food Fund, on the structuring and acquisition of a majority stake in Organic Foods and Café Group, a multijurisdictional, UAE-based supplier of organic products and operator of the largest organic supermarket chain in the UAE.
• Represented Equitrust Investments (the investment arm of the Choueiri Group) in its $6.5 million Series A investment in Arabyads.
• Represented Wamda Seed Limited in connection with its Series A investment in Eyewa, an online eyewear business in the Middle East.
• Represented International Medical Centre in its acquisition of three healthcare facilities in Jeddah, Saudi Arabia.
• Advised in Alameda Financial International Business, Egypt's leading integrated private healthcare group and hospital operator, on the merger of equals with Emirates Hospitals Group, one of the UAE’s largest private healthcare providers, creating a $2 billion group.

Corporate Finance Transactions

• Advised in the preparation, review, and revision of financing documents pertaining to financing of a number of Solar PV Projects such as the CTA and other onshore security documents (Share pledge Agreements, Assignment Agreements, Finance Parties Rights Agreements, Possessive Mortgage Agreements, and Floating Charge Agreements).
• Advised in the preparation, review, and compilation of documentation pertaining to a sovereign Eurobond issue of $500,000 guaranteed by the US government and follow up on the procurement of all necessary permits and authorizations.

Corporate Commercial

• Advised a UAE defense company on its entry into a supply agreement for the supply of MB empty AE, Forge (including stabilator and wooden packing), supplements Nitro Fil, cartridge 60mm and fuze (including pyrotechnic and packing).
• Advised a UAE defense company on its entry into a supply agreement for the supply of 5.56mm Tracer Projectile.  
• Advised a UAE defense company on its entry into an agency agreement with a British company to promote and introduce sales of their products.  
• Advised a UAE defense company on its entry into a representation agreement with a Kuwaiti company to market, sell and distribute their products. 
• Advising a UAE defense company on its application for a UAE export permit to export certain intellectual property relating to armoured vehicle designs to computer-aided design engineers in multiple jurisdictions for further development.
• Advised on the drafting of related party agreements in relation shared services agreements between related party entities.
• Advised an international airline in the United Arab Emirates on corporate and commercial transactions, including the preparation, review, and negotiation of procurement and supply, services, technology, intellectual property, and other commercial agreements.
