Nasma Al Sabe primarily advises fund sponsors and fund managers on the structuring, formation and operation of private investment funds of various strategies. She also represents private companies, foreign contractors, developers and corporate investors on private equity, mergers and acquisitions, general corporate and finance matters in industries such as real estate, energy, healthcare, technology, financial and telecommunications. Nasma is fluent in Arabic and English. She is admitted to practice in Jordan.
Advised a group of investors led by TVM Capital Healthcare Partners Limited on the US$ 232 million sale of their portfolio company Cambridge Medical and Rehabilitation Center (CMRC) to Amanat Holdings PJSC, a UAE-based publicly traded investment company that focuses on education and healthcare investments.
Assisted Frontier Investment Management Partners Ltd. (FIM), in the US$21.5 million equity investment by EFG Hermes UAE Ltd.
Assisted one of the MENA region's leading integrated private healthcare group and hospital operators, in its mutli-billion dollar merger of equals with another leading regional private healthcare provider.
Assisted in the preparation, review and revision of financing documents pertaining to financing of a number of Solar PV Projects in Jordan such as the CTA and other onshore security documents (Share pledge Agreements, Assignment Agreements, Finance Parties Rights Agreements, Possessive Mortgage Agreements and Floating Charge Agreements).
Assisted in the preparation, review and compilation of documentation pertaining to a sovereign Eurobond issue of US$500,000 in Jordan guaranteed by the US Government and follow up on the procurement of all necessary permits and authorizations.
