Patrick T. Newsum manages mergers and acquisitions, including public company M&A and special purpose acquisition company (SPAC) transactions, carve-outs, capital financings, private equity investments and US and cross-border transactions for Fortune 500 companies, private equity sponsors, and emerging market companies. Patrick applies a reasoned approach to assist corporate executives, in-house counsel, and boards of directors navigate the ever-evolving list of issues businesses face in the current economic climate. He advises on corporate governance, fiduciary duty, and strategic decision-making matters across the technology, manufacturing, life sciences, food/beverage, and financial services sectors.
Patrick regularly guides clients during all stages of targeted investments and bid auctions beginning from the NDA and letter of intent, and continuing through to the closing of the final purchase agreement in mid-market merger and acquisition transactions. Additionally, he assists both domestic and international private equity firms with preferred equity investments from the term sheet phase to negotiation of shareholders agreements and strategic exit events.
Patrick’s experience representing both private equity sponsors as well as target companies provides a unique perspective on the competing positions between parties during the negotiation process. Drawing on this background, he focuses on his clients’ strategic goals for the current transaction as well as long-term plan for future growth opportunities.
