Susan Milyavsky focuses her practice on technology, outsourcing, and commercial contracting matters. She drafts and negotiates outsourcing, consulting and professional services, and other business process outsourcing deals for functions such as information technology, finance and accounting, human resources, and procurement.
Additionally, Susan supports sourcing and supply chain operations with manufacturing agreements, consulting and service agreements, marketing and advertising agreements, confidentiality agreements, supply and distribution agreements.
On the technology side, Susan drafts and negotiates agreements for software licensing, hardware purchases and leases, data licensing and subscriptions, website hosting and development, and other technology-related agreements, including system implementation, joint venture, and strategic alliance agreements.
Prior to joining Morgan Lewis, Susan was Counsel at ITT Corporation, where she regularly advised on technology and procurement matters such as privacy and cybersecurity as well as drafted, negotiated and reviewed procurement, technology and IP contracts including inbound and outbound commercial, sales, distribution, SaaS, software license, hardware, consulting, and confidentiality agreements.
Susan has previously interned for the Honorable Delissa A. Ridgway at the United States Court of International Trade, an Article III Federal Court of Special Jurisdiction.
Susan is proficient in Russian.
