M&A Transactions – Public Companies

Morgan Lewis presents: M&A Transactions – Public Companies.

In this session, Robert Dickey and Colby Smith will begin with a discussion about the manner in which public company acquisitions differ from private company acquisitions, which was the topic discussed in the previous session. The presenters will then discuss the principal issues in such a transaction, from the structure of the acquisition and consideration issues, to tax concerns, to “no-shops” and “fiduciary outs,” to lock-up arrangements. Lastly, the presenters will go over in detail various forms related to public company acquisitions, including an agreement and plan of merger, a confidentiality letter and a stockholder’s agreement.
