NACD Princeton Chapter Presentation – An Activist Director: Good or Bad for Your Board?

In 2015, there were 375 activist campaigns against public companies. 2016 will likely rival, if not exceed, 2015 in the number of activist campaigns that are expected to be waged. The vast majority of activist campaigns are settled in advance of a contested meeting and those settlements often result in one or more board candidates recommended by the activist being appointed to the target company's board of directors.

In this session, we will discuss and have a lively debate about the pros and cons of activist recommend designees serving on a public company's board of directors.  Key questions to be discussed and debated will be: 

• Does the activist designee make the board more or less productive?
• Should a board be supportive of an activist designee joining its membership?
• What should a board do to constructively work with activist designees?
• What are the risks of having an activist designee as a director?
• How can a board mitigate the risks of having an activist designee as a director?
• Do activist designees have potential conflicts of interest that need to be anticipated and addressed?
• What steps should an activist designee do to improve his or her ability to work collaboratively with the other board members?
