M&A Transactions – Public Companies

This session will begin with a discussion about the manner in which public company acquisitions differ from private company acquisitions. The presenters will then discuss the principal issues in such a transaction, from the structure of the acquisition and consideration issues, to tax concerns, to "no-shops" and "fiduciary outs," to lock-up arrangements. Lastly, the presenters will go over in detail various forms related to public company acquisitions, including an agreement and plan of merger, a confidentiality letter, and a stockholder's agreement.
