Restrictive covenants are critical for a company to protect its proprietary information and business relationships. It is increasingly common for businesses to include such covenants in equity award agreements, either in addition to or instead of the more customary covenants in confidentiality agreements and employment agreements. In drafting these restrictions, employers not only need to anticipate increased judicial scrutiny but also factor in recent legislative efforts to promote employee mobility.
