This session will examine the process of making an acquisition, including key issues, considerations, and transaction structures. Panelists will also review the factors that can contribute to the eventual success or failure of an acquisition.

Our panel of experts will share their views and experiences in how ESOP owned businesses might evaluate unsolicited offers received, including the financial and fiduciary issues involved. We will also discuss the issues, considerations and process involved in selling an ESOP-owned company.

How should fiduciaries view proposed actions which could affect the ESOP’s investment in employer stock?

This session will provide an overview of the S corporation anti-abuse rules, including definitions and terminology; a summary of the testing rules, including sample calculations; consequences of failure, and tips for keeping your ESOP in compliance.
