Healthcare Transactions – Mergers & Acquisitions

Our healthcare practice boasts more than 250 lawyers—many recognized as market leaders in their respective areas—who craft innovative legal solutions for our healthcare sector clients. Our healthcare transactions lawyers work in collaboration with our experienced teams of transactional and other professionals to handle a broad range of commercial and corporate transactions—including mergers and acquisitions (M&A), restructurings, divestitures, affiliations, and joint ventures.

We represent private equity funds and strategic buyers of healthcare services companies, as well as professional service firms.  We also represent a wide range of healthcare enterprises—including hospitals, large physician groups, and other healthcare providers, as well as health plans and insurers.

We counsel our clients on a variety of healthcare joint venture transactions and service agreements between and among healthcare providers, with sophisticated counsel on applicable licensure, reimbursement, fraud and abuse, and tax law implications. Our team includes lawyers who are knowledgeable on the issues that often arise in complex transactions—including corporate, intellectual property, tax, employee benefits, labor and employment, and regulatory matters. Our healthcare transactions bench is deep, enabling us to advise on all aspects of healthcare transactions.

We have transactional and regulatory experience in the physician practice/management services organization (MSO) space, including formation and choice of the entity, M&A (including practice acquisitions), financing, regulatory counsel (including corporate practice of medicine, licensure, and fraud and abuse  regulations). We are also able to review and assess any government investigations that arise in the course of a transaction. We understand this business, the government and commercial payor environments, and the various federal and state laws that govern the relationship between physician groups and MSOs.

Our lawyers are located throughout the United States in Houston, Boston, New York, San Francisco, and Washington, DC—to name only a few offices that are part of our global presence. Our team is agile, responsive, and practical, with knowledge of the nuances of healthcare sector transactions.
