James P. Carrigan

Jay’s background includes working directly in the technology industry. He served as corporate counsel at Marcam Corporation, a software vendor that delivered ERP solutions to process manufacturers. In this role, he advised and represented Marcam and its subsidiaries in structuring and negotiating transactions to acquire technology, products and services. He also provided advice regarding contractual arrangements with partners, vendors and customers in the US, Europe, Central and South America, and Asia-Pacific regions, and assisted with the implementation of a restructuring plan, including the sale of a subsidiary and the spinoff of another subsidiary.

While serving as assistant general counsel at Tufts-New England Medical Center, Jay helped establish a for-profit subsidiary to develop and market medical outcomes measuring instruments, software and related consulting services. He assisted with industry-sponsored research/licensing transactions and served as counsel to the NEMCH Investigational Review Board. Jay also represented the center and its affiliates in structuring, negotiating and documenting acquisitions of physician practices, software, computer hardware, telecommunications and medical devices.

Representative Experience

• Represented Eirion Therapeutics in the structuring and negotiation of two License, Development and Commercialization Agreements with Shanghai Haohai Biological Technology Ltd. for three Eirion next-generation prescription product candidates for aesthetic dermatology applications. These agreements include approximately $43 million in development fees, royalties in the high single digit to low twenty range, and up to $444 million in sales milestones
• Represented Cellex Cell Professionals GmbH and its subsidiary GEMoaB GmbH in negotiation of a license and collaboration agreement and a commercialization and co-funding agreement between Intellia Therapeutics and a newly formed company (AvenCell Therapeutics) owned in equal shares by Cellex, Intellia, and Blackstone Life Sciences (which supplied funding for AvenCell)
• Represented Multiply Labs in structuring and negating a series of collaboration agreements with Cytiva, Charles River Labs, and Thermo Fisher Scientific, and a related sponsored research agreement with University of California San Francisco for the development of a prototype cGMP-compliant robotic manufacturing system cable of producing gene modified polyclonal regulatory T cell (Treg) therapies
• Represented private company in structuring, and negotiating development, licensing, and commercialization agreement with Balt Incorporated for the company’s aspiration, guiding, and navigation catheters, sheaths, and dilator products
