James W. McKenzie, Jr.

As a former public company general counsel, James W. McKenzie, Jr., serves as the primary outside counselor in most of his client relationships. Jim advises public company clients on securities offerings of debt and equity, disclosure and corporate governance matters, fiduciary duties, NYSE and NASDAQ compliance, mergers and acquisitions, and cross-border transactions. He works with real estate investment trusts (REITs) and clients in the healthcare services, life sciences, technology, manufacturing, financial services, and retail industries.

Extended Profile

Jim provides ongoing securities advice to NYSE-listed companies such as AmerisourceBergen Corporation; Armstrong World Industries, Inc.; Gramercy Property Trust; and Armstrong Flooring, Inc., and NASDAQ-listed companies such as Tabula Rasa HealthCare, Inc.; Marlin Business Services Corp.; and MeetMe, Inc.

Jim has been a member of the firm’s Advisory Board and served in various management positions in the securities and corporate governance practice.

As executive vice president and general counsel of Verticalnet Inc., Jim managed a 16-person legal department and played an instrumental role in the company’s initial public offering (IPO), debt offerings, strategic alliances, joint ventures in Europe and Japan, and in more than 25 acquisitions.

Jim is listed in Chambers USA, and has previously been named a BTI Consulting Group Client Service All-Star and an American Lawyer IPO Dealmaker of the Year.
