Michael A. Müller
Michael A. Müller represents developers, lenders, government entities, and equity investors in connection with the development, financing, acquisition, and disposition of energy and infrastructure projects. He regularly counsels clients on all aspects of the development, construction, and financing of power production assets. Mike also advises clients on corporate matters including mergers and acquisitions involving natural gas, renewable natural gas, hydrogen, ethanol, hydroelectric, solar, wind, biomass, battery storage, carbon capture and sequestration, and other alternative energy projects, and in connection with transportation, transmission, telecommunications, and other infrastructure projects.
Mike is an active member of the energy industry team and a co-leader of the hydrogen working group. Prior to joining Morgan Lewis, Mike was an associate in the energy and project finance practice of an international law firm in Boston. He was previously an associate in the global finance and debt products practice of another international law firm in Charlotte, North Carolina. Before law school, he worked in the financial services industry in Boston.
- An institutional investor group and a lender syndicate in connection with the financing of Southwest Generation’s acquisition of Mankato Energy Center, an approximately 720 megawatt (MW) power project that includes two natural gas–fired, combined-cycle units; the financing included the sale of approximately $400 million in senior secured notes in the private placement market and a letter of credit and working capital facility with Canadian Imperial Bank of Commerce, Sumitomo Mitsui Banking Corporation, and Natixis
- A gas utility in connection with a joint venture with an offshore wind developer to develop and construct a green hydrogen facility that will blend hydrogen produced from power produced from an offshore wind facility with natural gas flowing in its local distribution systems
- South Jersey Industries (SJI) in a joint venture with REV LNG that will invest in various renewable natural gas (RNG), liquefied natural gas (LNG), and compressed natural gas (CNG) projects; the RNG business involves the development and installation on dairy farms of anaerobic digesters to break down biodegradable material such as cow manure and convert and process it into RNG
- Apex Power and Caithness Energy in connection with the development, construction, and approximately $1.6 billion project financing of Guernsey Power Station, an approximately 1850 MW natural gas–fired, combined-cycle electric generation facility to be located in Guernsey County, Ohio
- National Grid in its acquisition of Geronimo Energy, a developer of more than 2,200 MWs of wind and solar energy projects located in the midwestern United States; in connection with the transaction, National Grid also entered into a joint venture with Washington State Investment Board to acquire certain renewable energy projects developed and constructed by Geronimo Energy
- South Jersey Industries in connection with the sale to DTE Energy Services of a thermal and co-generation facility located in Atlantic City, New Jersey, that provides electricity and hot and chilled water to both the Borgata Hotel Casino & Spa and The Water Club
- Ares EIF Management in connection with the development, construction, and approximately $420 million private placement project financing of Hill Top Energy Center, an approximately 620-MW natural gas–fired, combined-cycle electric generation facility to be located in Greene County, Pennsylvania, and in connection with the partial sale of Hill Top Energy Center to other equity participants
- Gateway New London LLC in connection with bidding into a request for proposal and subsequently entering into a long-term agreement with the Connecticut Port Authority related to the operation of State Pier in New London, Connecticut, and the related public-private partnership between Gateway New London LLC, Bay State Wind, and the Connecticut Port Authority to redevelop State Pier into an offshore wind assembly, staging, and shipping terminal
- A terminal and logistics infrastructure company in a $110 million portfolio financing secured by its shipping terminals and ancillary assets located in the eastern United States
- Starwood Energy Group in the sale of the Horse Creek and Electra wind projects, two approximately 230 MW wind farms located in Haskell and Wilbarger counties, Texas, to affiliates of Munich Re and Ardian
- A terminal and logistics infrastructure company in its acquisition and acquisition financing of a full-service intermodal river terminal, warehousing facility, and landfill located on the lower Mississippi River near Memphis, Tennessee
- A terminal and logistics infrastructure company in its acquisition and acquisition financing of a dry and liquid bulk and breakbulk cargo shipping terminal located in the northeastern United States, including the physical terminal along with a fleet of commercial trucks, flatbeds, tugs, and barges that ship cargo across the eastern United States
- Ares EIF Management in the development, $350 million project financing, and partial sale of Birdsboro Power Project, an approximately 485 MW natural gas–fired, combined-cycle electric generation facility in Birdsboro, Pennsylvania, and the partial sale of the Birdsboro Power Project to other equity participants
- Maxim Power Corp. in the sale of its wholly owned subsidiary, Maxim Power (USA), Inc., holding the entirety of its US portfolio of five large generating facilities, following an auction process to a subsidiary of Hull Street Energy, LLC
- LS Power in the sale by an LS Power affiliate of the 751 MW natural gas–fired West Deptford Energy Station located in West Deptford Township, New Jersey, to a group of investors that acquired ownership interests in the project through a subscription process
- Ares EIF Management, LLC in the sale of Berkshire Power Project, an approximately 250 MW natural gas–fired, combined-cycle electric generation facility located in Agawam, Massachusetts, to a subsidiary of Tenaska Energy, Inc.
- Clean Energy Future, LLC in the development and construction of an approximately 940 MW natural gas–fired, combined-cycle power generation facility to be located in the village of Lordstown, Ohio, with an enterprise value of approximately $980 million
- Caithness Energy and Moxie Energy in connection with the development, construction, and approximately $531 million project financing of a 1029 MW natural gas–fired, combined-cycle electric generation facility to be located in Luzerne County, Pennsylvania
- Ares EIF Management in connection with the development, construction, and sale of an approximately 755 MW natural gas–fired, combined-cycle electric generation facility to be located in Prince George’s County, Maryland
- Ares EIF Management in connection with the development, construction, and approximately $443 million private placement project financing of an approximately 318 MW natural gas–fired, combined-cycle electric generation facility located in Otay Mesa, California; the deal was named 2015 North American Power Bond Deal of the Year by IJGlobal
- Moxie Energy in connection with the development, construction, and approximately $627 million project financing of an 829 MW natural gas–fired, combined-cycle electric generation facility located in Lycoming County, Pennsylvania, and the subsequent sale of the project to Panda Power Funds
- Moxie Energy in connection with the development, construction, and approximately $651 million project financing of an 829 MW natural gas–fired, combined-cycle electric generation facility located in Bradford County, Pennsylvania, and the subsequent sale of the project to Panda Power Funds
- ArcLight Capital Partners in connection with the acquisition and financing of a 123 MW natural gas–fired, combined-cycle electric generation facility located in Ludington, Michigan
- Atlantic Power Corporation and project company Canadian Hills Wind, LLC in the approximately $290 million construction financing of a 298.45 MW wind power project located in Canadian County, Oklahoma
- Atlantic Power Corporation in the acquisition and financing of a 155 MW natural gas–fired power generation facility located in Auburndale, Florida
- Astoria Energy II LLC in connection with the development, construction, and approximately $1.1 billion project financing of a 550 MW natural gas–fired, combined-cycle electric generation facility located in New York City; the deal was named 2009 Americas Power Deal of the Year by Project Finance International
- Ares EIF Management and project company Kleen Energy Systems LLC in connection with project development and debt and equity transactions valued at more than $1.3 billion for the construction and long-term financing of a 620 MW dual fuel–fired electric generation project located in Middletown, Connecticut; the deal was named 2008 North American Single Asset Power Deal of the Year by Project Finance magazine
