Vito Petretti focuses his practice on technology, digital transformation, and outsourcing matters. Vito assists clients in drafting and negotiating domestic and international outsourcing service agreements for a variety of business processes, such as information technology, finance and accounting, human resources, facility, and procurement. In the information technology space, Vito drafts and negotiates agreements for a variety of as-a-service (XaaS) offerings, software licensing, data licensing and subscriptions, the implementation and use of artificial intelligence (AI) technology, website hosting and development, and other technology-related agreements, including system implementation, joint venture, and strategic alliance agreements.

- Represented one of the world’s largest pharmaceutical distributors in the negotiation of a software license with SAP and a master services agreement with its system integrator, and assisted the client in the RFP processes that led to the selection of both SAP and the system integrator
- Represented a global consumer products company in the negotiation of a master services agreement and related statements of work in connection with the outsourcing of the client’s maintenance, repair, and operating (MRO) functions at all its plants in North America
- Represented a leading automotive aftermarket parts provider in the negotiation of a full-scale IT outsourcing project, including infrastructure services, end-user computing, application maintenance, and support and network services
- Represented a health insurance provider focused on vision care in two major outsourcing transactions: the outsourcing a portion of the client’s finance and accounting functions to Genpact and the outsourcing of nearly all the client’s IT operations (including infrastructure, service desk, and end-user computing) to Zensar
- Represented a wholesale food distribution company in the negotiation of a distribution agreement with one of the world’s largest retailers under which the client agreed to service the retailer’s brick-and-mortar grocery stores across the United States
- Represented a large natural gas service provider in the negotiation of a software-as-a-service (SaaS) service and implementation agreement with Workday under which the client replaced all its core HR platforms, including time tracking, payroll and learning systems, with the Workday system
- Represented a global consumer products company in the negotiation of a facility and warehouse management outsourcing agreement for the operation of critical US warehouses, including negotiation for the build-out of the facility and implementation of robotics and automation as part of warehouse operations
