2017 Technology May-rathon: From VIE to SAFE – tech investments into and from China

Join us as we discuss some common structural features and pitfalls in US investments in tech companies in China, as well as US tech companies receiving investments from Chinese investors. For US investments into Chinese companies, we will discuss offshore vs. onshore investments, the use of variable interest entities (VIEs), going onshore for possible A-share listings and how that affects US investors, and recent trends on these issues. For Chinese investments into US tech companies, we will discuss what has driven such investments in the last two years, approvals the Chinese investors need to obtain, and getting money out of China to close the deal.
