Morgan Lewis Adds Investment Management Transactions Veterans to Enhance Practice

NEW YORK, May 17, 2017: Morgan Lewis has added leading investment management transactions partners Robert D. Goldbaum and Nathan R. Pusey to its investment management transactions practice, where they will continue to represent a wide variety of industry leaders in the full range of asset and wealth management transactions. Both new partners will be based in New York, joining Morgan Lewis’s existing investment management transactions practice and broad-based corporate and securities transactions practice.

Mr. Goldbaum’s experience includes numerous acquisitions and sales of investment managers, minority investments in traditional and alternative asset management firms, spin-outs and lift-outs of investment management businesses and teams from larger organizations, and capital market and credit transactions involving asset management firms. Before joining Morgan Lewis, he headed the investment management transactions practice at another global law firm.

Mr. Pusey also focuses on mergers and acquisitions, joint ventures, and restructuring transactions in the investment management industry. He regularly represents industry leaders in transactions involving traditional and alternative asset management firms, acquisitions and sales of majority and minority interests, spin-outs, joint ventures, seed investments, and strategic relationships. Mr. Pusey, a longtime colleague of Mr. Goldbaum’s, was counsel in the investment management transactions practice at the pair’s previous firm.

Mr. Goldbaum and Mr. Pusey will collaborate with more than 200 Morgan Lewis lawyers who advise public and private investment funds in a broad range of corporate and securities matters, including mergers and acquisitions, public offerings and private placement of securities, federal and state securities law compliance, and partnership, limited liability company, and joint venture arrangements.

The mergers and acquisitions team at Morgan Lewis counsels sellers and buyers, investors and owners, boards of directors, and sources of financing and intermediaries, including private equity and venture capital funds, in transactions ranging up to more than $70 billion in value. The team handles a wide variety of issues arising from mergers and acquisitions, including environmental, labor, employment, and compensation matters, regulatory obligations, intellectual property rights, and tax matters.

The firm’s investment management practice, with offices in the world’s major financial centers, advises funds, managers, financial services firms, and institutional investors on the full spectrum of formation, investment, transactional, regulatory, and compliance matters.
