LLC and Partnership Transfer Restrictions Excluded from UCC Article 9 Overrides, Business Law Today
February 07, 2019Morgan Lewis partner Edwin Smith co-authored an article for Business Law Today on the organizational law of limited liability companies, specifically the “pick-your-partner principle.” He explains in the article that the pick-your-partner principle has complex interactions with Article 9 of the Uniform Commercial Code (UCC).
