Morgan Lewis Adds Corporate, Technology Transactions Veteran Nancy Yamaguchi as Partner

SAN FRANCISCO, April 10, 2017: Morgan Lewis today welcomes Nancy Yamaguchi, a mergers and acquisitions veteran who also handles technology transactions, as a partner in its Corporate & Business Transactions practice. She will be resident in the firm’s San Francisco office.

Ms. Yamaguchi is known for her strong cross-border practice concentrating on Japan and the Silicon Valley. In addition to mergers and acquisitions, she supports technology companies in corporate and technology transactions that include corporate formations, venture capital, debt financings, strategic partnerships, and joint ventures. Ms. Yamaguchi has practiced for the last 16 years in Northern California, advising clients worldwide on strategic acquisitions, investments, and other aspects of their business operations. Her clients include global companies in the semiconductor, software, manufacturing, automotive and FinTech industries.

Ms. Yamaguchi, who is fluent in Japanese, advises Japanese, US, and other companies on investments and operations of technology businesses and assets around the world. Her major engagements include advising on the sale of $30 million of common stock in a Japanese mobile communication company to numerous multinational investors; the sale by a major Japanese public company of telecommunications assets to a US technology distributor; and the strategic investment and technology alliance between a leading financial institution in Japan and a California-based FinTech start-up. She also advised backers in Shanghai as they invested in a semiconductor start-up in Silicon Valley for technology development in China, and worked on a private label technology development and licensing partnership between a Silicon Valley semiconductor company and its strategic partner in China.

Ms. Yamaguchi has handled technology and content license agreements, manufacturing services agreements, and joint development agreements, as well as international supply-chain transactions, including supply agreements, distribution agreements, and contract manufacturing and toll manufacturing agreements. Formerly the director of mergers and acquisitions for a public company and chief legal officer for a technology company, Ms. Yamaguchi is a frequent author and speaker on a variety of legal topics.
