Morgan Lewis Advises SK Capital on Acquisition of Clariant Businesses

PRINCETON, N.J., October 1, 2013:  SK Capital Partners, a U.S.-based private investment firm, announced today that it has closed on the previously announced agreement to acquire the Textile Chemicals, Paper Specialties, and Emulsions businesses of Muttenz, Switzerland-based internationally active specialty chemical company Clariant.

The three Clariant businesses will be combined into a company to be called Archroma. Together, the businesses generate revenues of approximately $1.3 billion, operate from 25 facilities worldwide and employ approximately 3,000 people.

Morgan Lewis advised SK Capital Partners on the transaction. Business and Finance partner Steven Cohen in coordination with a Swiss team at Bär & Karrer led by Dr. Christoph Neeracher led the global M&A team advising SK Capital, Private Investment Funds Group partner Peter Phleger led the team advising SK Capital Partners on the equity financing, Finance partner Richard Petretti advised on the debt financing and Tax partner Richard Zarin advised SK on the tax structuring for the new Archroma organization. Morgan Lewis utilized a team of more than 50 of its lawyers in 16 offices and in 8 practice areas to advise SK Capital Partners on the transaction, including serving as local deal counsel in China, France, Germany, Japan, Russia, the United Kingdom and the U.S.
