Morgan Lewis Advises TransForce Subsidiary on Transport America Acquisition

NEW YORK, June 2, 2014: North American transportation and logistics industry leader TransForce Inc. announced today that a wholly-owned subsidiary of TransForce has entered into an agreement with private equity firm Goldner Hawn Johnson & Morrison Incorporated to acquire the entire share capital of its portfolio company, Transport America, Inc., a provider of truckload carriage and logistics services. The transaction is subject to customary closing conditions and should close near the end of June 2014. The purchase price represents a total enterprise value of approximately $310 million, including the assumption of Transport America’s debt of about $150 million.

Morgan Lewis served as legal adviser to the TransForce subsidiary on its acquisition of Transport America, Inc.
