Requirements of the Committee on Foreign Investment in the United States (CFIUS) may present a significant barrier to German acquirers/investors. The Foreign Investment Risk Review and Modernization Act (FIRRMA), adopted by a large majority in the US Congress in August 2018, is expected to create further difficulties and delays for high-tech companies. Careful planning of the US transaction in advance, especially in the so-called Critical Infrastructure in the US, is therefore a "must" to avoid difficulties or delays in closing or, in the worst case, significant penalties.
