Brian Morris focuses his practice on complex commercial litigation, including disputes involving breach of contract, fraud, corporate governance and control, stockholder derivative actions, fiduciary duties, appraisals, and claims arising from mergers and acquisitions. Brian has also served as counsel to special committees of boards of directors formed to conduct internal investigations of alleged wrongdoing.
Brian has represented some of the world’s largest companies, their officers, and directors, predominantly in the Delaware Court of Chancery. Brian has participated in all phases of pre-trial practice including drafting pleadings, briefs and motions, managing discovery, taking and defending depositions, presenting arguments, and being a member of several trial teams. He also has experience advising directors, officers, and corporate counsel on matters of corporate and alternative entity governance.
Prior to joining Morgan Lewis, Brian was a corporate litigation associate at a large firm in Delaware. While in law school, Brian was an associate editor of the Maryland Law Review, a member of the Moot Court Board, and a student-attorney in the Gender Violence Clinic. In college, Brian was a three-time captain of the NCAA Division 1 men’s basketball team and an Academic All-American Finalist.
